Initiatives to Further Strengthen Governance
NTT COMWARE CORPORATION (Head Office: Minato-ku, Tokyo; President: Masato Kuroiwa; hereinafter "NTT COMWARE") announces its decision to review the management, size, and composition of the Board of Directors and to introduce an executive office system to strengthen governance, which will contribute to enhancing corporate value.
1.Review of the management, size, and composition of the Board of DirectorsNTT COMWARE has decided to review the management, size, and composition of the Board of Directors, including issues on which decisions are to be made and the optimum size for discussions, to stimulate strategic discussion at meetings of the Board of Directors.
To strengthen corporate governance, NTT COMWARE will appoint outside directors.
2.Introduction of executive officer system
NTT COMWARE introduces an executive officer system to clearly separate the management decision making and supervision function and the business execution function to further strengthen corporate governance and increase management agility.
The executive officers will be selected by the Board of Directors. The term of office is one year.
3.Timing of Implementation
The initiatives will be implemented after the closing of the 25th General Shareholders Meeting to be held in June.
